From business formation and fundraising to intellectual property and regulatory compliance, the 2026 legal handbook prepared by Vietnam's National Innovation Center (NIC) offers a useful reference for founders, investors, and businesses navigating Vietnam's startup ecosystem.
About the publication
Building a startup involves more than developing a product, finding customers, and raising capital. Founders also face legal decisions that can influence how their businesses are structured, financed, governed, and scaled.
Which legal entity should a startup establish? How should ownership be allocated among co-founders? What should founders consider before accepting investment? Which legal obligations arise when a new product enters the market?
To help address these questions, Vietnam's National Innovation Center (NIC) has prepared a publication titled “Compilation of Frequently Encountered Issues for Innovative Startup Enterprises in Vietnam” (an English rendering of its Vietnamese title).
The handbook was developed under the Project on Enhancing the Innovation Support Capacity of NIC, funded by the Government of Japan through the United Nations Development Programme (UNDP) in Vietnam.
The publication reflects Vietnamese legal regulations in effect as of August 2026.
76 legal questions across the startup journey
The handbook uses a question-and-answer format, presenting legal issues through a simulated conversation between an entrepreneur and a legal expert.
This approach makes the publication accessible to readers who may not have a legal background while providing references to relevant regulations, illustrations, comparison tables, and practical considerations.
The handbook covers 76 questions across 11 chapters, organized into two main parts.
Part I – Establishing an Innovative Startup Enterprise
The first part addresses foundational legal decisions, including:
Legal incentives and support policies for innovative startups.
Choosing an appropriate business and corporate structure.
Business registration and regulated business activities.
Accessing capital through investors, loans, and other financing arrangements.
Capital contributions, charter capital, ownership allocation, and shareholder rights.
These topics are particularly relevant to early-stage founders preparing to establish a business or bring in external investors.
Part II – Operating an Innovative Startup Enterprise
The second part focuses on legal matters that may arise during business operations:
New product testing and legal risk management.
Employment matters, non-disclosure agreements (NDAs), non-compete agreements (NCAs), and employee stock ownership plans (ESOPs).
Intellectual property rights and protection.
Personal data protection and cross-border data transfers.
Transfers of capital contributions and shares.
Business suspension, dissolution, and insolvency-related matters.
The handbook also includes three appendices covering a legal compliance checklist, a glossary of basic terms, and a list of referenced legal instruments.

For early-stage founders, the sections on business structures, capital contributions, and corporate ownership provide a starting point for understanding legal decisions before incorporation.
